Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and fintechlead Ltd ("fintechlead", "we", "us", or "our") governing your use of our fintech services, platform, and website.

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all users of our services, including but not limited to businesses, individuals, and authorised representatives acting on behalf of organisations.

Description of Services

fintechlead provides subscription commerce fintech solutions including but not limited to:

• Payment processing and recurring billing services
• Revenue optimisation and analytics tools
• Fraud prevention and security services
• Compliance and regulatory support
• API integration and technical support
• Customer management and retention tools

Our services are designed specifically for subscription-based businesses and recurring revenue models. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with appropriate notice.

Service availability and features may vary based on your subscription plan, geographical location, and applicable regulatory requirements.

User Obligations

By using our services, you agree to:

• Provide accurate, current, and complete information during registration and use
• Maintain the security and confidentiality of your account credentials
• Comply with all applicable laws, regulations, and industry standards
• Use our services only for legitimate business purposes
• Not engage in fraudulent, illegal, or harmful activities

Payment Terms

Our services are provided on a subscription basis with fees determined by your selected service plan. Payment terms include:

• Fees are charged in advance for subscription services
• Transaction-based fees are charged as services are used
• All fees are exclusive of applicable taxes unless otherwise stated
• Payment is due according to the terms specified in your service agreement
• Late payment may result in service suspension or termination
• Refunds are subject to our refund policy and applicable law

We reserve the right to modify our pricing with thirty (30) days' written notice. Price changes will not affect existing subscription periods that have been paid in advance.

You authorise us to charge your designated payment method for all applicable fees and agree to maintain valid payment information.

Intellectual Property

The fintechlead platform, including all software, content, trademarks, logos, and other intellectual property, is owned by fintechlead Ltd or our licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms. This licence does not include the right to:

• Copy, modify, or create derivative works of our software or content
• Reverse engineer or attempt to discover source code
• Remove or alter any proprietary notices or labels
• Use our intellectual property for competitive purposes
• Sublicense or transfer your rights to third parties

You retain ownership of any data, content, or intellectual property you provide to our services, subject to the rights granted to us under these Terms and our Privacy Policy.

Any feedback, suggestions, or improvements you provide regarding our services may be used by fintechlead without compensation or attribution.

Data Protection and Privacy

Your privacy and data protection are important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

By using our services, you consent to the processing of your personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR).

We implement appropriate technical and organisational measures to protect your data and maintain compliance with relevant data protection regulations.

Limitation of Liability

To the maximum extent permitted by applicable law, fintechlead's total liability to you for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to fintechlead in the twelve (12) months preceding the claim.

In no event shall fintechlead be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption or system downtime
• Cost of substitute services or products
• Damage to reputation or goodwill

These limitations apply regardless of the legal theory on which the claim is based and even if fintechlead has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless fintechlead, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from or related to:

• Your use of our services in violation of these Terms
• Your violation of applicable laws or regulations
• Your infringement of third-party intellectual property rights
• Any fraudulent or illegal activities conducted through your account
• Any breach of your representations or warranties

This indemnification obligation shall survive termination of these Terms and your use of our services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ireland, and you consent to the personal jurisdiction of such courts.

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiations. If such negotiations fail, disputes may be resolved through binding arbitration under the rules of the Irish Commercial Court.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Termination

Either party may terminate these Terms and your use of our services under the following circumstances:

• For Convenience: With thirty (30) days' written notice
• For Cause: Immediately upon material breach that remains uncured after written notice
• For Non-Payment: After failure to pay fees within the specified grace period
• For Legal Requirements: As required by applicable law or regulation

Upon termination, your right to use our services will cease immediately. We will provide you with reasonable access to export your data for a period of thirty (30) days following termination, after which we may delete your data in accordance with our data retention policies.

Termination does not relieve either party of obligations that accrued prior to termination, including payment obligations and indemnification duties.

Sections relating to intellectual property, limitation of liability, indemnification, governing law, and other provisions that by their nature should survive shall continue in effect after termination.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and fintechlead regarding the subject matter herein.

Modifications: We may modify these Terms at any time by posting updated terms on our website. Material changes will be communicated with appropriate notice, and continued use of our services constitutes acceptance of the modified terms.

Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

Force Majeure: Neither party shall be liable for any failure to perform due to causes beyond their reasonable control, including natural disasters, government actions, or network failures.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
